1. About Sound Legacy

Sound Legacy LLC ("Sound Legacy," "we," "us," or "our") is a music streaming and licensing marketplace. We connect independent artists with content creators, businesses, and individuals who wish to stream or license original music. All music available on our platform is owned by the artists who upload it, and we operate as their authorized licensing agent.

2. Eligibility

You must be at least 18 years of age to create an account and use our services. By creating an account you represent that all information you provide is accurate and that you have the legal capacity to enter into these Terms.

3. Account Types

Sound Legacy offers two types of accounts:

• User Accounts — for listeners and licensees who wish to stream or license music.
• Artist Accounts — for musicians who upload original compositions for streaming and licensing on the platform.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

4. Subscription Plans

Sound Legacy offers multiple subscription tiers for users, ranging from free access to full commercial licensing. Plan details, features, and current pricing are available on our pricing page. Subscription fees are billed monthly or annually as selected at checkout. Annual plans are billed in full at the start of the billing period. Prices are subject to change with 30 days notice.

5. Single Track Licenses

In addition to subscriptions, users may purchase one-time single track licenses for specific use cases ranging from personal projects to full commercial and broadcast rights. License tiers, permitted uses, and current pricing are outlined on our licensing page.

Single track licenses are perpetual, non-exclusive, and non-transferable. They grant the purchaser the right to use the specified track within the scope defined by the license tier purchased. Licenses do not transfer ownership of the music or its underlying copyright.

6. Artist Terms

Artists who join the platform agree to the following:

• You represent and warrant that you own or control all rights to the music you upload.
• You grant Sound Legacy a non-exclusive license to stream, display, and license your music to users on your behalf.
• Revenue from licensing is distributed to artists based on the terms outlined in your artist agreement. Payout rates and structures are communicated during onboarding and are subject to update with notice.
• Payouts are processed on a monthly basis, subject to minimum payout thresholds.
• Sound Legacy reserves the right to remove content that violates these Terms or applicable law.

7. Prohibited Use

You agree not to:

• Use the platform for any unlawful purpose.
• Redistribute, resell, or sublicense any music obtained through Sound Legacy without authorization.
• Attempt to circumvent any access controls, gating, or technical protection measures.
• Upload content that infringes on the intellectual property rights of any third party.
• Use automated tools to scrape, download, or access platform content in bulk.
• Misrepresent your identity, plan tier, or intended use of licensed content.
• Use any music licensed through Sound Legacy in content that promotes, glorifies, or is associated with hate speech, racial or ethnic discrimination, religious intolerance, gender-based harassment, or violence against any individual or group.
• Use any music licensed through Sound Legacy in pornographic content, adult entertainment films, or content produced primarily for sexual gratification. This restriction does not apply to mainstream films, television, or creative works that contain mature or sexual themes as part of a broader artistic narrative.
• Use any music licensed through Sound Legacy in content that targets, exploits, or harms minors in any way.

Sound Legacy reserves the right to revoke any license without refund if it is determined that the licensed music was used in violation of these content restrictions. We reserve the right to refuse service to any individual or entity whose content or platform conflicts with these values.

8. Intellectual Property

All music on the Sound Legacy platform remains the property of the respective artists. The Sound Legacy name, logo, platform design, and original content are the property of Sound Legacy LLC. Nothing in these Terms transfers any intellectual property rights to you beyond the specific license granted upon purchase or subscription.

9. Termination

Sound Legacy reserves the right to suspend or terminate your account at any time for violation of these Terms. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.

10. Disclaimers & Limitation of Liability

Sound Legacy is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access to the platform. To the maximum extent permitted by law, Sound Legacy LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which Sound Legacy LLC is registered, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes via email or a notice on the platform. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
